These Terms and Conditions of Sale and Use (“Terms”) govern your access to and use of the GQS Commerce Cloud online store at ecommerce.gqs-inc.com (the “Site”) and the purchase of, enrollment in, and use of training courses, e-learning, licenses, and related materials and services (collectively, the “Services”) offered by Global Quality Systems, Inc. (“GQS,” “we,” “us,” or “our”). By accessing the Site, creating an account, or placing an order, you agree to be bound by these Terms on behalf of yourself and any organization you represent. If you do not agree, do not use the Site or purchase the Services.
1. Definitions
In these Terms: “Account” means the registered user account used to access the Site and Services; “Content” means all course materials, videos, assessments, documents, and other materials made available through the Services; “Course” means any instructor-led or self-paced training offering; “LMS” means the GQS learning management system through which self-paced courses are delivered; and “You” or “Customer” means the individual or organization purchasing or using the Services.
2. Eligibility and Accounts
You must be at least 18 years old and able to form a binding contract to purchase the Services. You agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for maintaining the confidentiality of your Account credentials and for all activity under your Account. Accounts and course access are issued to a single named learner and may not be shared. Notify GQS promptly of any unauthorized use.
3. Products and Services
GQS offers instructor-led and self-paced online training, e-learning licenses, and related materials in quality management, cybersecurity, and regulatory compliance, including NIST SP 800-171 and CMMC readiness training. Course descriptions, formats, prerequisites, and durations are set out on each product page. GQS may add, update, improve, or discontinue Courses and Content at any time.
4. Orders, Pricing, and Payment
All prices are stated in U.S. dollars (USD) and are exclusive of applicable taxes unless otherwise indicated. Prices are subject to change, but the price displayed at checkout applies to your order. Payment is processed through the Site’s third-party payment provider; by submitting an order you authorize the charge to your selected payment method. An order constitutes an offer to purchase, which GQS accepts when it confirms the order and provisions access. GQS may refuse or cancel an order, including for suspected fraud, pricing or description errors, or unavailability, and will refund any amount charged for a cancelled order.
5. Course Access and Delivery
Upon confirmation of payment, self-paced Courses are provisioned through the GQS LMS and access instructions are sent to the email associated with your Account. Unless otherwise stated on the product page, each Course purchase provides one-time access for a single enrollment and expires twelve (12) months from the date of enrollment. Instructor-led sessions are scheduled by mutual agreement under the applicable quotation or training agreement. You are responsible for meeting basic system requirements (a current web browser and a reliable internet connection). Access is limited to the named learner for internal training purposes only and may not be shared, transferred, sublicensed, distributed, or used to train, certify, or instruct any other individual. Each learner must purchase a separate Course enrollment unless otherwise authorized by GQS in writing.
Renewal.
Following expiration, the named learner may renew access to the Course for an additional twelve (12) months by paying a renewal fee equal to fifty percent (50%) of the Course’s then-current standard purchase price. Renewal fees are non-refundable except as expressly stated in these Terms. Each renewal extends access for an additional twelve (12) months from the date the renewal is processed. Multiple renewals may be purchased, subject to GQS’s then-current offerings and pricing policies.
6. Certification Criteria
The following criteria apply to Courses that include a graded assessment and a Certificate of Completion:
- Assessment and passing score. Courses include knowledge-check quizzes and a final assessment. A minimum passing score of 80% is required to complete a Course successfully.
- Attempts and remediation. Learners are permitted up to three (3) attempts on the final assessment, and the highest score is recorded. If a learner does not pass after the third attempt, a review of the relevant module(s) is required before further attempts are granted, or the learner may contact GQS for instructor-supported remediation.
- Certificate of Completion. A Certificate of Completion is issued only upon achieving the minimum passing score. The certificate evidences completion of the Course; it is not an individual professional certification or accreditation and does not by itself confer CMMC certification or compliance.
- Certificate validity. A Certificate of Completion is valid for one (1) year from its issue date. To maintain compliance after that period, the learner should complete a Refresher Course and obtain a renewed certificate.
- Annual recurrence. To maintain compliance, security-awareness training is generally required on at least an annual basis (for example, under CMMC Level 2, practice AT.L2-3.2.1). Completing a Refresher Course each renewal period supports continued compliance.
- Records. GQS maintains completion and assessment records to support your training documentation and assessment activities. Records are available to the Account holder or sponsoring organization on request.
7. Refunds and Cancellations
Self-paced digital Courses: because access is granted immediately upon purchase, all sales are final once a Course has been accessed or started. A refund may be requested within fourteen (14) days of purchase only if the Course has not been accessed. Instructor-led training: deposits, balances, and cancellation terms are governed by the applicable quotation or training agreement. 8. Intellectual Property and License
All Content is owned by GQS or its licensors and is protected by copyright and other intellectual-property laws. Your purchase grants a limited, non-exclusive, non-transferable, revocable license to access and use the Content solely for the named learner’s internal training. You may not copy, reproduce, distribute, publicly display, resell, sublicense, or create derivative works from the Content, share Account credentials, or record instructor-led sessions, without GQS’s prior written consent.
9. Acceptable Use
You agree not to: share, resell, or transfer access to the Services; circumvent access controls or usage limits; scrape, data-mine, or reverse engineer the Site or Content; upload malicious code; or use the Services for any unlawful purpose. Organization-wide or multi-seat access is available only under a separate written enterprise or organizational license.
10. Privacy and Data Protection
GQS processes personal information in accordance with its Privacy Policy, available on the Site. Where a Course is purchased or sponsored by an organization, enrollment and completion records may be shared with that organization for training and compliance purposes. By using the Services you consent to such processing.
11. Disclaimers of Warranties
The Services and Content are provided for educational purposes on an “as is” and “as available” basis, without warranties of any kind, express or implied, to the fullest extent permitted by law. GQS does not warrant that the Services will be uninterrupted or error-free, and does not guarantee any particular compliance outcome, assessment result, or CMMC certification. The Content is not legal advice.
12. Limitation of Liability
To the maximum extent permitted by law, GQS and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising out of or relating to the Services. GQS’s total liability for any claim arising out of or relating to these Terms or the Services will not exceed the amount you paid for the specific Service giving rise to the claim.
13. Indemnification
You agree to indemnify and hold harmless GQS from and against any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your misuse of the Services, violation of these Terms, or violation of any law or third-party right.
14. Modifications to the Services and Terms
GQS may modify, suspend, or discontinue any part of the Services, and may revise these Terms, at any time. Revised Terms are effective when posted to the Site with an updated effective date. Your continued use of the Site or Services after changes are posted constitutes acceptance of the revised Terms. Purchases already completed are governed by the Terms in effect at the time of purchase.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. The parties will first attempt to resolve any dispute in good faith. Any dispute not resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in Riverside County, California, and you consent to venue there.
16. Miscellaneous
These Terms, together with any applicable quotation, order, or product-page terms, constitute the entire agreement between you and GQS regarding the Services. If any provision is held unenforceable, the remaining provisions remain in effect. GQS’s failure to enforce any right is not a waiver. You may not assign these Terms without GQS’s consent; GQS may assign them. GQS is not liable for delays or failures caused by events beyond its reasonable control.
